Legal lock: perpetual purpose trust + binding governance
At $100B, someone will try to buy NI. The PPT must already exist.
- Perpetual purpose trust — NI can never be sold, acquired, or taken private
- Immutable commitments — the PPT locks the 1% UBI tax and 1% treasury tax permanently. No future vote — not even a worker majority — can redirect or dissolve them.
- Binding worker votes — one worker, one vote on fee rates, fund allocation, pay rates, and policy. Everything except the immutable commitments.

NI converts to a worker cooperative. Workers run it, share in profits, and can verify the code.

The goal
Mission complete: permanent UBI
The treasury becomes a permanent endowment.
- Treasury endowment — the 1% treasury tax has been accumulating since day one. At 51%, it stops saving and starts paying out. Annual dividends from the returns, principal preserved forever.
- Permanent UBI — the monthly 1% UBI distribution continues from revenue. The endowment dividends are on top of that. Two streams, both permanent.
Why 51%? Workers own the economy once NI has outcompeted all companies.
This is how UBI gets solved. Not through government. Not by taxing other companies. A worker-owned platform saves 1% of everything for decades, then distributes the returns to every worker, forever. The endowment never runs out.
This is the first UBI proposal funded entirely by workers — not dependent on any government, corporation, or billionaire.
Why not just stay a company?
Because the people who create the value should control how it's distributed. Scale AI charges 40% and pays workers minimum wage. Mechanical Turk treats workers as disposable. The only way to guarantee NI never becomes that is to put workers in charge.
A platform that workers own can't raise fees to enrich shareholders. Can't cut pay to boost margins. Can't sell to the highest bidder. It can only serve the people who make it work.
These milestones are encoded in NI's corporate bylaws — not just this webpage. The fee structure, fund allocation, and cooperative transition are legally binding commitments.
